SHELL COMPLETION ANNOUNCEMENT

Shell confirms that its subsidiary, Shell Energy Holdings Australia Limited
(SEHAL), has sold 78.34 million Woodside shares representing 10.0% of the total
issued shares in Woodside.

SEHAL now holds 190,119,364 shares representing 24.27% of the issued share
capital of Woodside.
