Reference: Reinvestment of the June 2005 First Quarter Dividend

We would like to inform you that the Dividend Reinvestment option of Global Invest Direct is no longer available for the Royal Dutch Petroleum Company (Royal Dutch) New York Shares (NY Shares).

As a result, your first quarter dividend entitlement, due to be paid on or about June 15, 2005 will not be reinvested for the purchase of additional New York shares. A check for your 2005 First Quarter dividend entitlement will be mailed to you under separate cover.

We have taken this decision as a result of the pending transaction involving Royal Dutch and Royal Dutch Shell plc in order to avoid Royal Dutch shareholders having residual fractional shares following any tenders under Royal Dutch Shell plc’s current exchange offer for shares (including NY Shares) of Royal Dutch.

We are also pleased to announce that those NY Shares tendered by you into the aforementioned exchange offer, to the extent accepted by Royal Dutch plc, will be exchanged for new American depositary shares evidencing shares of Royal Dutch Shell plc (in accordance with the terms of the exchange offer). These American depositary shares shall be issued to you through GlobaI Invest Direct. Unless you notify us to the contrary, your dividend reinvestment elections for the Royal Dutch NY Shares will apply to any Royal Dutch Shell plc American depositary shares deposited into your Global Invest Direct account as a result of the exchange offer.
